TERMS & CONDITIONS OF SALE

1. About Us

Sole E Latte is a trading name of Sunny Ventures Ltd, registered in England and Wales.

“We”, “us”, “our” refers to Sunny Ventures Ltd trading as Sole E Latte.


2. Definitions

Consumer (B2C): An individual purchasing goods for personal use.
Business Customer (B2B): A customer purchasing goods in the course of trade, business, or profession.

Different sections below apply depending on customer type.


3. Orders

An order becomes binding only when:

  • Payment is received (unless trade credit agreed), and
     
  • We confirm acceptance in writing or dispatch goods.
     

We reserve the right to refuse orders.


4. Pricing & Payment

All prices:

  • Are in GBP (£)
     
  • Include VAT where applicable
     
  • Exclude delivery unless stated
     


4.1 Consumers (B2C)

Payment must be made in full before dispatch.


4.2 Business Customers (B2B)

Where agreed in writing:

  • Payment terms may be 7, 14, or 30 days
     
  • Late payments may incur statutory interest under the Late Payment of Commercial Debts Act
     
  • We reserve the right to suspend supply for overdue accounts
     


5. Delivery

We deliver via:

  • Our own drivers (including refrigerated vehicles where applicable), and/or
     
  • Third-party courier services.
     

Delivery dates are estimates only.


6. Risk & Ownership

Consumers (B2C)

Risk passes upon delivery to the consumer’s address.

Business Customers (B2B)

Risk passes on delivery.
Title (ownership) does not pass until full payment is received.

We reserve the right to recover goods if payment is not made.


7. Perishable Goods (Important)

All products are fresh dairy goods and must be stored at 0–5°C.

Under the Consumer Contracts Regulations 2013:

Perishable goods are exempt from the 14-day cancellation right.

Orders cannot be cancelled once dispatched.

Returns are not accepted unless goods are faulty.


8. Inspection & Claims

Consumers (B2C)

You must notify us within 24 hours of delivery if goods are:

  • Damaged
     
  • Incorrect
     
  • Not of satisfactory quality
     

Photographic evidence is required.

Business Customers (B2B)

You must:

  • Inspect goods immediately on delivery
     
  • Note issues on delivery documentation
     
  • Notify us within 24 hours
     

Failure to do so constitutes acceptance of goods.


9. Storage & Handling

Once delivered, customers are responsible for:

  • Immediate refrigeration
     
  • Correct storage conditions
     
  • Maintaining food safety compliance
     

We are not liable for deterioration after delivery.


10. Limitation of Liability

Nothing excludes liability for:

  • Death or personal injury caused by negligence
     
  • Fraud
     
  • Any non-excludable liability under UK law
     

Consumers (B2C)

Your statutory rights are not affected.

Business Customers (B2B)

To the fullest extent permitted by law:

  • Our liability is limited to the value of goods supplied
     
  • We are not liable for indirect, consequential, or loss of profit
     
  • We are not liable for business interruption
     

This clause is critical for protecting you from restaurant loss claims.


11. Force Majeure

We are not liable for delays or failure caused by events outside our control, including:

  • Courier delays
     
  • Extreme weather
     
  • Traffic disruption
     
  • Supply chain interruption
     
  • Government restrictions
     


12. Allergens

Our products contain milk and may contain traces of other allergens.

Business customers are responsible for passing accurate allergen information to end consumers.


13. Governing Law

These Terms are governed by the laws of England and Wales.
